: 
Purpose:
To conduct an analytical review and provide legal-technical guidance to the Ministry of High-Tech Industry of the Republic of Armenia. The consultant will assist with finalizing the electronic or “e-commerce” legislative framework by systematizing previous work, ensuring that the perspectives and needs of the private sector and key beneficiaries are duly reflected through public-private dialogue, and preparing a substantiated legal framework proposal and draft legislative package for consideration by the Government.
Background
E-commerce has been rapidly growing worldwide, transforming how businesses and consumers operate and interact with markets. In Armenia, the expansion of digital platforms and online transactions has created new opportunities and innovations that require a clear, coherent, and modern legal framework.
As the process of finalizing the e-commerce legislation is now underway, the Ministry of High-Tech Industry, in cooperation with CIPE, intends to summarize the work conducted to date and seeks analytical and legal-technical support for preparing a coherent legislative recommendation on electronic commerce.
Since 2017, CIPE and its partners have provide technical assistance and consultations to governments in Africa, Latin America, Southeast Asia and beyond, resulting in recommendations and adoption of legislative reforms in the fields of digital transformation and electronic commerce.
Scope of Work
This assignment will be implemented in line with CIPE’s public-private dialogue approach, ensuring structured engagement between public authorities and private sector stakeholders so that the perspectives of businesses and key beneficiaries are systematically reflected in any proposed legislative solutions.
As part of this assignment, the consultant will prepare a (i)stakeholder mapping identifying key public and private sector actors in the e-commerce ecosystem (including business associations, leading market players, and relevant institutions), and (ii) will use this mapping to structure targeted public-private dialogue consultations.
The analytical review under this assignment shall be based on a combination of: (i) review of existing official and working documents provided by the Ministry of High-Tech Industry and its partners; (ii) review of relevant legislation and publicly available materials; and (iii) working-level consultations with Ministry staff and other relevant public stakeholders, as needed, to clarify policy intent and implementation context.
Objectives
- To systematize and summarize all analytical, policy, and consultation work conducted to date on e-commerce regulation in Armenia, based on a review of official documents, relevant legislation, and consultations with the Ministry.
- To support the Ministry of High-Tech Industry in selecting the most appropriate legal approach (standalone law vs. package of amendments).
- To prepare a substantiated legal framework proposal and draft legislative package for consideration by the Government.
- To ensure that the final proposed legal framework is informed by insights and recommendations from structured public-private dialogues and reflects the practical needs of businesses and other key beneficiaries.
To ensure alignment with:
- Global and/or EU best practice
-Directive 2000/31/EC of the European Parliament and the Council of June 8, 2000 on certain legal aspects of information society services, in particular electronic commerce (Electronic Commerce Directive)
-Armenia -EU Comprehensive and Enhanced Partnership Agreement (CEPA) commitments
To ensure that the final proposed legal framework is informed by structured public-private dialogue and reflects the practical needs of businesses and other key beneficiaries
Tasks
To achieve the above-mentioned objectives, the selected company/expert is expected to complete the following tasks:
1. Review and Consolidation of Existing Work
Review and analyze all existing and relevant materials related to e-commerce regulation in Armenia, including:
Draft laws, concepts, policy papers, analytical materials, and background documents prepared by the Government and its partners;
Materials developed under the EU CEPA support program (to be provided by the Ministry);
Relevant legislation currently in force, including but not limited to:
- Law on Cybersecurity
- Law on Consumer Protection
- Law on Trade and Services
- Civil Code of the Republic of Armenia
- Law on Personal Data Protection
- Other relevant legal and policy acts affecting electronic commerce.
Conduct working-level consultations with the Ministry of High-Tech Industry and, as needed, other relevant public stakeholders to clarify policy intent, regulatory gaps, and implementation considerations.
Prepare a consolidated analytical summary of the work already conducted and the policy/legal approaches already discussed.
2. Legal Structuring Analysis
Analyze and propose an appropriate legal solution: either a standalone law on electronic commerce or a package of amendments to existing legislation.
Provide a clear justification for the proposed approach.
3. Preparation of Draft Legal Support Materials (for Ministry’s consideration)
Prepare:
Either a draft structure and draft articles of a Law on Electronic Commerce, or
A draft package of proposed amendments and additions to existing legislation (e.g., Civil Code, consumer protection, law on trade and services, data protection, electronic transactions, etc.)
Ensure legal coherence, internal consistency, and compliance with Armenian legislative drafting standards.
Ensure alignment with EU best practices and Directive 2000/31/EC.
4. Working Consultations and Public-Private Dialogue
Prepare a brief stakeholder mapping of key public and private sector actors relevant to e-commerce regulation in Armenia, including private sector representatives, business associations, and key market participants.
Conduct working meetings and structured consultations with the Ministry of High-Tech Industry and selected stakeholders based on this mapping.
Ensure that the perspectives, practical challenges, and needs of the private sector and key beneficiaries are systematically captured and reflected in the draft legal support materials through a public-private dialogue.
5. Finalization Support
Revise and finalize all materials based on feedback received.
Prepare explanatory notes and justifications to accompany the draft legal package.
Note: All materials produced under this assignment constitute analytical and legal-technical support and do not substitute the official legislative drafting and adoption procedures of the Government of the Republic of Armenia.
Deliverables
The selected company/expert is expected to provide the following deliverables:
Inception Report
A detailed work plan, including methodology, timeline, and approach, to be submitted within 10 days of the project start date.
Interim Deliverable
Consolidated analytical summary, proposed legal structuring approach, and stakeholder mapping with consultation plan.
Draft Legal Support Package
Draft structure and draft texts (law or amendments package) plus explanatory notes, to be submitted three weeks before the end of the project.
Final Legal Support Package
Finalized version incorporating feedback from CIPE and the Ministry of High-Tech Industry.
Presentation of Findings
Presentation of the final legal recommendations to the Ministry of High-Tech Industry and CIPE.

: 
Eligible applicants include registered consulting companies, law firms, nonprofit organizations, and individual experts with proven experience in legislative analysis, legal approximation, or regulatory reform. Experience with digital policy preferred.
Applicants should submit the following documents:
- A cover letter describing the applicant’s approach to the assignment, including detailed methodology, workplan, and proposed implementation approach
- Documentation of key qualifications and CV(s) of proposed expert(s), demonstrating experience in legislative drafting, EU approximation, or digital economy regulation
- A financial proposal / budget quote in USD (the total amount may not exceed USD 10,000)
